Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SiloCDP platform, website, APIs, and related services (collectively, the "Service") provided by SiloCDP ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Use of the Service
3.1 Permitted Use
You may use the Service to send push notifications, emails, SMS messages, and other communications to your subscribers in accordance with applicable laws and these Terms. You must obtain proper consent from your subscribers before sending them messages via the Service.
3.2 Prohibited Use
You agree not to:
- Send spam, unsolicited messages, or communications to recipients who have not opted in
- Transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Distribute malware, phishing content, or deceptive material
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
- Reverse engineer, decompile, or disassemble the Service
- Use the Service in a manner that violates any applicable law or regulation, including anti-spam, data protection, and consumer protection laws
- Resell or redistribute the Service without our prior written consent
- Interfere with or disrupt the integrity or performance of the Service
4. Subscriber Data & Privacy
You retain ownership of all data you submit to or process through the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide, operate, and improve the Service. We process subscriber data on your behalf as a data processor; you remain the data controller and are responsible for compliance with applicable data protection laws (including GDPR, CCPA, and CAN-SPAM).

5. Subscription Plans & Billing
5.1 Plans
The Service is offered under multiple subscription tiers (Free, Starter, Professional, and Enterprise) as described on our Pricing page. Features, subscriber limits, and notification quotas vary by plan.
5.2 Billing & Payment
Paid plans are billed in advance on a monthly or annual basis. Payments are processed securely through Stripe or PayPal. All fees are stated in US dollars and are non-refundable except as provided in Section 5.4.
5.3 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period.
5.4 Refunds
We offer a 14-day money-back guarantee on all paid plans. If you are not satisfied within the first 14 days of a new paid subscription, contact us for a full refund. After the 14-day period, no refunds will be issued for the current billing cycle.
5.5 Overages
If you exceed the subscriber or notification limits of your plan, we will notify you. Continued overages may result in temporary service restrictions until you upgrade your plan.
6. Intellectual Property
The Service, including its design, code, features, documentation, and trademarks, is owned by SiloCDP and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited right to use it under these Terms.
7. API Usage
Access to the SiloCDP API is subject to these Terms and any additional API documentation or guidelines we publish. You must use API keys responsibly and must not share them with unauthorized parties. We may rate-limit or revoke API access for abuse or excessive usage that impacts Service performance.
8. Uptime & Service Levels
We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance when possible. Enterprise plan customers may be eligible for a Service Level Agreement (SLA) with specific uptime commitments.
9. Limitation of Liability
To the maximum extent permitted by law, SiloCDP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of the Service, regardless of the theory of liability. Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.
11. Indemnification
You agree to indemnify and hold harmless SiloCDP and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
12. Termination
You may cancel your account at any time through the Service settings. We may suspend or terminate your account if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days following termination, after which it will be permanently deleted unless retention is required by law.
13. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, if you have an account, by sending a notification. Your continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SiloCDP is incorporated, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the competent courts of that jurisdiction.
